Job Description

Legal.io is working with an established non-profit based in Oakland, CA to bring on an experienced Contract Manager with strong legal admin experience. This position will report to, and work closely with, the General Counsel. This role requires candidates to work on-site in Oakland, CA 4-5 days a week.

Scope of Work

  • Hourly Rate : $60 - $75 / hour ($120,000 - $150,000 annualized)

Job description:

Responsibilities:

  • Oversee A-Z contract administration: ensuring matters are entered accurately into Ironclad, shepherd agreements through execution, coordinate reviews, track, and report on contract statuses, compile relevant documents such as programmatic exhibits and SOWs, and process electronic signatures via DocuSign.
  • Review, redline, and draft various third-party commercial agreements (e.g., consulting, SOWs, venue/hotel, event, SAAS, NDAs).
  • Monitor, review, and report on contract renewals and terminations.
  • Manage legal records and archives, ensuring proper organization of contracts such as vendor agreements, grants, and other commercial agreements.
  • Serve as the point of contact on questions related to contract process, agreement workflows, status, and Ironclad.
  • Identify and recommend improvements to contract processes and legal system workflows.

Legal Processes:

  • Support CLO and org leadership with weekly contract packets, meeting management, task-tracking & completion.
  • Support CLO and Legal Ops Manager with special projects.
  • Support and drive legal training initiatives including leading training sessions on updated contracting processes, guides, and tools.

Records Management:

  • Oversee the organization and maintenance of all contracts and contract correspondences; including standardization of naming conventions and record filing system.
  • Optimize records folders and update records from archive to current system.
  • Organize and maintain records for all contracts and contract correspondence to Ironclad and Box records.
  • Respond to requests for contract records (Finance, Legal, Ops, and Business).
  • Prepare records binders as requested by Legal/Ops.
  • Support Finance with W-9 collection and vendor verifications in contract flows.

Platform Management:

  • Update and code workflow updates on the Ironclad platform.
  • Modify, update, build, integrations to various workflows.

Qualifications/Skills:

  • 4+ years of experience with legal contracts management, legal operations, or legal project/case management.
  • Prior experience with Ironclad, Salesforce, Airtable, Microsoft Office & Google Suite highly desired.
  • Agile, accurate, resourceful, responsive.
  • Great project management skills.
  • Detail-oriented, curious, and analytical thinker.
  • Strong administrative organization skills.
  • Familiarity with legal agreements, commercial vendor contracts, and grant agreements is a plus.
  • Clear, concise communication, presentation, and collaboration skills.
  • Self-motivated with the ability to set long-term and day-to-day priorities and manage multiple competing tasks in an effective and efficient manner.
  • Comfortable working with flexibility in an agile customer-service-oriented environment.
  • Discreet and familiar with navigating legally sensitive or confidential matters.
  • Paralegal experience a plus.
